QRpass – Merchant Terms of Use

1. Definitions

In these Merchant Terms of Use (“Terms”):

  • QRpass Platform or Platform – the online ticketing software operated by Miltema OÜ, accessible via https://qrpass.io and its subdomains, providing tools for merchants to create, manage, and sell electronic tickets (“E-tickets”).
  • Service – the event, tour, experience, museum, attraction, or other activity provided and operated by the Merchant, for which tickets are sold through the Platform.
  • Merchant – a legal entity or individual that registers an account on the QRpass Platform to sell tickets for its own Service.
  • Visitor – an individual purchasing an E-ticket through the QRpass Platform.
  • Miltema – refers to Miltema OÜ, the operator and owner of the QRpass Platform.
  • Payment Provider – an external, approved third-party payment processor such as Montonio Finance OÜ or Maksekeskus AS, used by the Merchant to collect payments from Visitors.

2. Acceptance of Terms

By creating a Merchant account or using the QRpass Platform for selling tickets, the Merchant agrees to these Terms.
If you do not agree, you must not use the Platform.
These Terms form a legally binding agreement between Miltema OÜ and the Merchant, governing access and use of the QRpass Platform.

3. Nature of the Platform

QRpass provides software-as-a-service (SaaS) tools that allow Merchants to:

  • create and manage ticketed events and related content,
  • sell E-tickets online using integrated payment gateways,
  • verify tickets using QR code scanning, and
  • view order and visitor analytics.
Miltema does not act as a reseller, agent, or intermediary for any Merchant Service. Miltema does not hold, transfer, or manage any Merchant’s funds.

4. Payments and Payouts

  • The Merchant must maintain an active account with one of QRpass’s approved payment providers.
  • Funds from E-ticket sales are transferred directly from the Visitor to the Merchant via the Payment Provider.
  • Miltema does not collect or hold any sales proceeds.
  • The Merchant is solely responsible for:
    • configuring and maintaining their Payment Provider account,
    • compliance with payment provider terms and regulations,
    • applicable taxes and accounting obligations.
Miltema charges the Merchant a platform service fee as agreed in the Merchant’s QRpass account or individual service plan.

5. Refunds, Chargebacks, and Disputes

  • The Merchant must clearly define and publish their refund or cancellation policy within the QRpass system or on their Service page.
  • All refund requests, chargebacks, or payment disputes are handled directly between the Merchant and the Visitor via the Payment Provider.
  • Miltema does not mediate or resolve quality, delivery, or content disputes between the Merchant and the Visitor.
  • Miltema does not handle or reimburse chargebacks.

6. Merchant Obligations

The Merchant agrees to:

  • provide accurate, lawful, and non-misleading information about their Service;
  • comply with all applicable laws, including consumer protection and data protection laws;
  • ensure that Services offered through QRpass are legitimate and safely delivered;
  • use the Platform only for lawful ticket sales;
  • protect their login credentials and access tokens.
Miltema may suspend or terminate access if the Merchant engages in misuse, fraud, or violation of these Terms.

7. Intellectual Property

All content, software, design elements, and trademarks on the QRpass Platform are the property of Miltema OÜ or its licensors.
The Merchant retains ownership of their own Service materials (logos, images, descriptions) but grants Miltema a non-exclusive license to display such materials for the operation of the Platform.

8. Data Protection and Privacy

Miltema processes Merchant and Visitor data in accordance with the QRpass Privacy Policy and GDPR principles.
Each Merchant is independently responsible for ensuring compliance with applicable privacy laws when processing Visitor data (for example, when exporting customer lists or contact data).

9. Service Availability

QRpass strives to provide continuous and reliable operation but does not guarantee uninterrupted or error-free access.
Miltema may modify, suspend, or discontinue any feature for maintenance or improvement purposes, with or without prior notice.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Miltema is not liable for any losses, damages, or costs resulting from:
    • technical failures or downtime,
    • payment provider issues or rejected transactions,
    • chargebacks or refund disputes,
    • inaccuracies or unlawful content posted by the Merchant.
  • Miltema’s total cumulative liability under these Terms shall not exceed the total platform service fees paid by the Merchant during the preceding three (3) months.

11. Termination

Miltema may suspend or terminate the Merchant’s account:

  • if these Terms are breached,
  • if fraudulent or abusive activity is detected,
  • or upon the Merchant’s written request.
Upon termination, access to all QRpass features and stored data may be revoked, subject to applicable data retention laws.

12. Changes to Terms

Miltema reserves the right to update these Terms at any time.
The latest version is always available at https://qrpass.io/en/merchant-terms/
Continued use of the Platform after updates constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia. Any disputes arising from or related to these Terms shall be settled in Harju County Court, unless otherwise required by law.
